The Artist grants TCH a non-exclusive right to utilize their copyrighted imagery and brand assets for product sales and marketing purposes. This includes, but is not limited to, social media posts, email marketing, sales collateral, online promotion, and print or digital media publications. TCH commits not to alter or modify copyrighted material without the explicit consent of the Artist. The Artist represents ownership and exclusive rights to the artwork, and TCH disclaims any claim or interest in copyrighted materials.

The Artist expressly acknowledges and agrees that they are solely responsible for verifying and ensuring that they possess the legal right to commercially reproduce the images provided under this agreement. This includes obtaining any necessary releases, licenses, or permissions required for the authorized use of the images in product sales and marketing by TCH.

The Artist further commits to providing TCH with any relevant and applicable documentation, such as model releases, property releases, or other permissions, as evidence of their lawful entitlement to reproduce the images. This documentation should be furnished promptly upon TCH's request and must be current and applicable to the specific images in question.

By entering into this agreement, the Artist affirms their understanding and acceptance of this responsibility, recognizing that the lawful commercial use of the images is contingent upon their compliance with applicable legal requirements. TCH shall not be held liable for any legal consequences arising from the Artist's failure to obtain the necessary rights or provide the required documentation.

Retail royalties, also known as "licensing fees," are contingent on the actual product price paid by retail customers, as specified herein. Open Edition royalties are set at 30%, Limited Edition royalties at 40%, and Merchandise royalties at 20%. Royalties do not apply to shipping and handling, taxes, gifts, framing, and non-Artist products or services. Returns, refunds, and credit for purchases will be deducted from royalties if transacted post-payment. TCH will not withhold taxes; the Artist is responsible for all tax payments. TCH reserves the right to adjust royalties with 30-days prior notice.

TCH may conduct periodic retail and wholesale promotions, capped at 15%. Additionally, TCH may offer free gifts and Artist prints, with costs borne by TCH and no royalties paid on giveaway items. Royalties are calculated based on the actual sales price, inclusive of promotional discounts when applicable.

The Artist is encouraged to actively participate with TCH in jointly promoting their art collection to enhance collector engagement.

Royalties will be disbursed monthly, either 15 days after the close of each month or on the soonest business day thereafter. Payments are exclusively for sales exceeding the 30-day return window, ensuring royalties need not be refunded due to product returns within the specified timeframe.

For international payments, all transactions will be conducted in United States Dollars (USD). TCH will convert the agreed-upon royalty amounts from USD to the Artist's local currency, using the prevailing exchange rate at the time of payment. The exchange rate will be determined based on reputable financial sources or banks and may include any applicable fees associated with currency conversion.

By entering into this agreement, the Artist acknowledges and accepts the currency conversion process outlined above for international payments. Any additional fees imposed by financial institutions during the currency conversion process will be borne by the Artist.

This Agreement becomes effective upon the date of submission of this Agreement and is valid for one year, with automatic one-year extensions. TCH reserves the right to terminate an Artist program at any time for any reason.

The Artist may terminate this partnership at any time with 30-day written notice. TCH reserves the right to complete pending sales transactions.

The Parties pledge to resolve disputes through sincere negotiations, mutually agreeing not to commence legal action without making a good faith effort at mediation.
